1. Introduction

Welcome to Chat AI Pro. These Terms and Conditions (the "Terms") govern your access to and use of our website, applications, and related products, tools, subscriptions, one-time purchases, features, and AI-powered functionality (collectively, the "Services").

These Terms constitute a binding legal agreement between you and Madrigal Network, LLC ("Madrigal Network" "we", "us", or "our"). By accessing or using the Services, you confirm that you have read, understood, and agreed to be bound by these Terms and by our Privacy Policy, which is incorporated into these Terms by reference.

We may revise these Terms from time to time in our sole discretion. If we make material changes, we may provide notice through the Services, by email, or by other reasonable means, and we may update the effective or last-updated date. Your continued use of the Services after updated Terms become effective constitutes your acceptance of the revised Terms.

If you do not agree to these Terms or the Privacy Policy, you must not access or use the Services.

2. Class Action Waiver

To the fullest extent permitted by applicable law, you agree that any claim, dispute, or controversy arising out of or relating to these Terms, the Services, or your use of the Services must be pursued solely on an individual basis.

You expressly waive any right to participate in, bring, or recover relief through any class action, collective action, consolidated action, representative action, or private attorney general action against Madrigal Network or any related party. Any arbitration, court proceeding, or other dispute resolution process must be conducted only on an individual basis.

This class action waiver is a material part of these Terms. If a court determines that this waiver is unenforceable as to a particular claim or request for relief, that determination will not affect the enforceability of the remaining provisions of these Terms to the fullest extent permitted by law.

3. Services

Madrigal Network provides a proprietary chat-based AI platform designed to help users interact with publicly available information, summaries, general knowledge, and other materials in a conversational format. The Services may include AI-generated responses, summarization tools, natural-language assistance, search-enhanced responses, and related features.

Available features may include, without limitation:

• chat sharing;
• project-based organization;
• moving chats between projects;
• search across prior chats;
• integrated web search;
• deep research tools;
• image generation; and
• group chat functionality.

All features are subject to the limitations, disclaimers, and restrictions set out elsewhere in these Terms. Features may vary by plan, region, device, or account type.

The Services are provided for general informational and productivity purposes only. They are not a substitute for professional advice or professional judgment. Although we strive to provide useful and current functionality, we do not guarantee that any response, result, recommendation, or output will be complete, accurate, current, reliable, or suitable for your particular needs. Outputs may vary based on your prompts, model behavior, third-party data sources, system updates, and other factors outside our control.

The Services are provided on an "as is" and "as available" basis. We may add, remove, suspend, limit, or discontinue any feature or portion of the Services at any time, with or without notice.

You assume all risk arising from your use of the Services and from any reliance on outputs, suggestions, or other content made available through the Services. The Services are not intended for mission-critical, safety-critical, medical, legal, financial, emergency, or law-enforcement uses.

4. Additional Packages

We may offer optional add-ons, premium packages, upgraded tiers, or feature enhancements (collectively, "Additional Packages") that provide expanded functionality, greater usage limits, access to exclusive tools, or other benefits.

Each Additional Package will be described at the point of purchase or activation, including the applicable pricing, billing cadence, and included features. By purchasing or activating an Additional Package, you agree to the pricing and terms presented at checkout or in your account settings.

Certain features may be offered only temporarily, on a beta basis, or subject to separate conditions. We reserve the right to modify or discontinue any Additional Package or any feature included within it at any time. If a material reduction affects a paid package, we may, where appropriate and where required by law, provide notice and offer a reasonable remedy, such as a refund or prorated adjustment.

Unless expressly stated otherwise, Additional Packages are non-transferable and non-refundable. If your underlying paid subscription ends, access to any related Additional Package may also end at the close of the applicable billing period.

5. Service Limitations

All plans, trial offers, packages, and subscriptions are subject to usage limitations intended to preserve fair access, system stability, and operational efficiency. By using the Services, you acknowledge and agree that access may be limited based on your plan, usage level, or feature-specific thresholds.

Daily or periodic usage caps may apply and may reset automatically on a recurring basis. Usage limits may differ by subscription level and may be changed at our discretion.

Trial access includes materially lower usage allowances than paid subscriptions. If you reach a limit, you may lose access to certain features or be unable to generate additional responses until your usage allocation resets or your plan changes.

Reaching a usage cap, encountering upload limits, or finding that certain features are unavailable does not entitle you to a refund, credit, or offset. It is your responsibility to review plan limitations before purchasing or renewing.

We may monitor usage patterns to verify compliance with applicable limits and to prevent abuse.

6. Use of AI Technologies

The Services rely on artificial intelligence, including large language models and other machine-learning technologies, to generate responses based on user input. These systems are probabilistic and may produce inaccurate, incomplete, inconsistent, biased, misleading, or outdated outputs.

You understand that outputs are generated automatically and are not necessarily reviewed, approved, or validated by human experts. We do not verify the factual accuracy, legal sufficiency, medical soundness, or fitness for purpose of AI-generated responses.

The Services may misinterpret prompts, produce generalized or incorrect explanations, or generate unsupported content sometimes referred to as "hallucinations." You are solely responsible for evaluating and verifying all outputs before relying on them.

You agree not to use or rely on the Services in any context where errors, delays, or inaccuracies could cause harm or where professional review is required, including legal, medical, financial, emergency, or other high-risk contexts.

We may update, replace, or modify the underlying AI systems, models, vendors, prompts, and response behaviors at any time. Such changes may affect the style, quality, tone, or reliability of outputs.

7. Notice to Parents and Legal Guardians

The Services are intended only for users who meet the minimum age requirement stated in these Terms. They are not directed to children, and we do not knowingly permit use by individuals under the minimum age.

Because the Services rely on open-ended AI systems, outputs may be unpredictable, context-sensitive, or inappropriate for minors despite any filters or moderation mechanisms we may employ.

Parents and guardians are encouraged to supervise minors' online activity and use appropriate parental controls. If you allow a minor to access the Services in violation of these Terms, you accept responsibility for that use and for compliance with these Terms.

If we learn that a user below the permitted age has accessed the Services, we may disable access, suspend the account, and delete associated information where appropriate and required by law.

If you believe a child has accessed the Services in violation of these Terms, please contact us promptly.

8. Minimum Age

You must be at least 18 years old to access or use the Services. By using the Services, you represent and warrant that you are at least 18 years old and legally capable of entering into a binding agreement.

Individuals under 18 are prohibited from creating accounts, submitting personal information, or otherwise using the Services.

We reserve the right to request age verification at any time and to suspend or terminate access if we believe a user does not meet the minimum age requirement.

9. Accounts and Logins

Certain features require you to create an account. You agree to provide accurate, current, and complete registration and account information and to keep that information updated.

You are solely responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You may not share your credentials or allow another person to access the Services through your account. You must notify us immediately if you suspect unauthorized access or any security breach involving your account.

We are not responsible for losses arising from your failure to protect your credentials or maintain accurate account information.

We may suspend, restrict, or terminate your account if we believe the information you provided is false, misleading, incomplete, or outdated, or if your use of the Services violates these Terms or applicable law.

You may maintain multiple accounts only if each account is used in compliance with these Terms. We reserve the right to reject registrations, require identity verification, or limit access to particular features at our discretion.

Accounts are personal to you and may not be assigned, sold, or transferred without our prior written consent.

10. License to Use

Subject to your compliance with these Terms, Madrigal Network grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services solely for your personal, non-commercial use or, where we expressly permit it in writing, for internal business purposes.

This license allows you to use the Services through the authorized interface and to access features included in your plan. Except to the extent prohibited by law, you may not copy, modify, distribute, sell, lease, sublicense, reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, structure, algorithms, models, or underlying technology of the Services.

You may not use the Services, or any data or output from the Services, to develop, train, fine-tune, benchmark, or improve any competing product, model, or artificial intelligence system without our prior written consent.

All rights not expressly granted to you are reserved by Madrigal Network and its licensors. We may suspend or revoke this license at any time if you violate these Terms or misuse the Services.

11. Output Content

The Services generate responses, content, and results ("Output") based on your prompts and other submitted materials. Output is generated automatically and may be inaccurate, incomplete, outdated, offensive, unsuitable, or otherwise flawed.

You retain any rights you may have in the input you submit, but you acknowledge that Madrigal Network and its licensors retain all rights in the underlying platform, software, models, algorithms, and systems used to generate Output.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, worldwide, royalty-free license to use, reproduce, and display Output for lawful personal use or internal business use, unless a broader or narrower scope applies under your subscription or a separate written agreement.

You may not use Output in violation of law, in a manner that infringes the rights of others, or in a way that falsely suggests human verification, endorsement, or factual certainty.

Unless we expressly authorize it in writing, you may not use Output to train another AI system or commercially redistribute, publish, resell, or broadly repurpose Output beyond the scope permitted by your plan.

We may monitor use of the Services and may remove, restrict, or disable access to Output if we believe it violates these Terms or applicable law, although we are under no obligation to do so.

12. Reserved Rights

We reserve all rights not expressly granted in these Terms. Your use of the Services does not transfer to you any ownership interest in the Services, platform content, software, models, data, features, or related intellectual property.

We may, at any time and without liability, modify, suspend, discontinue, or restrict any aspect of the Services, including pricing, functionality, availability, feature sets, access levels, and user interfaces.

We also reserve the right to investigate user activity, enforce these Terms, prevent abuse, protect system integrity, and deny or terminate access where we believe a user has violated these Terms or otherwise created risk for us, our users, or third parties.

We may remove or refuse to display content, including Output, that we believe is unlawful, misleading, harmful, inappropriate, or inconsistent with these Terms or our policies.

Nothing in these Terms limits our right to develop, market, license, or use products or services that may be similar to or competitive with the Services.

13. Subscription and Payment Terms

Certain features and tiers of the Services require payment. By purchasing a subscription, trial, or other paid offering, you authorize Madrigal Network or its third-party payment processor to charge your selected payment method for all applicable fees, taxes, and recurring charges until cancellation is effective.

13.1 Trial Offer

Users may be offered a 7-day trial for a nominal charge of $1.00 or $0.99, depending on location, payment method, or other factors we determine in our discretion. Unless canceled at least 24 hours before the trial ends, the trial will automatically convert into the applicable recurring subscription and the corresponding renewal charge will be applied.

The trial includes limited trial credits and reduced usage allowances.

Trial payments may be processed as split transactions. For example:

• In the United States, the $1.00 trial charge may be processed as two $0.50 transactions.
• In Canada, the trial fee is $1.69 CAD and may be processed as $0.85 CAD and $0.84 CAD.
• In Australia, the trial fee is $1.89 AUD and may be processed as $0.95 AUD and $0.94 AUD.

The first transaction activates the trial, and the second may be used to verify that the payment method supports recurring billing. Regardless of whether the trial charge is processed as one or more transactions, the total amount charged remains the trial fee applicable to your region.

13.2 Subscription Plans

Available plans may include:

• Monthly Plan: $19.99, billed every 30 days.
• Quarterly Plan: $49.99, billed every 90 days.
• Yearly Plan: $99.99, billed every 365 days.

The Services may also offer a post-trial monthly charge of $29.99 billed every 28 days where that pricing is displayed and selected at checkout. The pricing and renewal schedule presented at the point of sale control for your purchase.

13.3 Auto-Renewal and Billing

Subscriptions renew automatically at the end of each billing period unless canceled before renewal in accordance with these Terms. You are responsible for maintaining accurate and current billing information.

If a charge cannot be processed because of insufficient funds, expiration, a declined payment, or another payment failure, we may suspend or terminate access to paid features and you remain responsible for unpaid amounts.

13.4 Cancellation and Refunds

You may cancel at any time, but cancellation must be completed at least 24 hours before the next renewal to avoid the next charge. Cancellation takes effect at the end of the current billing period, and you will retain access until that time.

Except where required by law or expressly stated otherwise, purchases are final, subscription fees are non-refundable, and we do not provide prorated refunds or credits for unused time, unused features, dissatisfaction, accidental purchases, or failure to cancel before renewal.

Promotional pricing, discounts, and introductory offers are subject to additional terms and expire at the end of the promotional period unless otherwise stated.

13.5 Taxes and Pricing Changes

You are responsible for any taxes, duties, levies, or similar government charges associated with your purchase unless applicable law requires us to collect and remit them on your behalf.

We may change pricing, billing terms, plan features, or plan availability at any time. If a material change affects your subscription, we will use reasonable efforts to provide advance notice. Continued use after the effective date of a change constitutes acceptance of the updated pricing or terms.

If you believe you were charged in error, you must notify us in writing within 15 days of the charge date.

14. Security

We implement reasonable administrative, technical, and physical safeguards designed to protect the Services and information transmitted through them from unauthorized access, use, alteration, or disclosure.

However, no method of transmission or storage is completely secure. We cannot guarantee that our safeguards will always prevent unauthorized access, misuse, or compromise.

You are responsible for protecting your account credentials and for accessing the Services only from secure devices and networks. You may not probe, test, scan, exploit, or attempt to breach the security of the Services or any related system.

We may monitor access and activity to detect security threats, prevent misuse, and enforce these Terms. If a security incident involving your information requires notice under applicable law, we will provide such notice as legally required.

15. Cancellation

You may cancel a subscription or trial at any time, but to avoid the next charge, cancellation must be completed at least 24 hours before the next billing cycle begins.

All cancellations must be completed through our designated Cancellation Hub. Contacting your payment provider, removing your payment method, or initiating a chargeback does not itself constitute cancellation.

After cancellation, your paid access remains available until the end of the then-current billing period, after which your subscription will terminate unless you re-subscribe.

No refunds, credits, or prorated amounts will be issued for partial periods, unused features, or unused time except where required by law.

If you encounter technical issues while attempting to cancel, you must contact support promptly before your renewal date.

We may also suspend, terminate, or cancel your access at any time if you violate these Terms, misuse the Services, engage in fraud, or create risk or harm. Unless required by law, no refund will be due in those circumstances.

If we permanently discontinue the Services in full, we may, where appropriate, issue a prorated refund for the unused portion of a prepaid subscription.

16. User Obligations

You agree to use the Services only for lawful, authorized, ethical, and permitted purposes and in compliance with these Terms and all applicable laws.

You are solely responsible for:

• your use of the Services;
• all prompts, data, files, content, and other materials you submit or cause to be processed ("User Input"); and
• all actions you take based on any Output.

You must not use the Services to submit, transmit, or generate unlawful, defamatory, abusive, harassing, threatening, discriminatory, hateful, obscene, sexually explicit, deceptive, or otherwise objectionable material.

You must not:

• engage in fraud, identity theft, or infringement;
• reverse engineer or extract source code or underlying components of the Services;
• use the Services to create, train, or improve another AI model without authorization;
• probe or test system vulnerabilities;
• use scraping tools, bots, or automated access methods in a prohibited manner;
• impersonate any person or entity; or
• provide false, misleading, or fraudulent information.

You also represent that your use of the Services complies with applicable export controls, sanctions laws, and trade restrictions.

17. Restrictions on Use

The Services may be used only for lawful and authorized purposes. You may not misuse, exploit, interfere with, or attempt to circumvent the intended functionality of the Services.

Without limitation, you may not, and may not permit any third party to:

• infringe the intellectual property, privacy, publicity, contractual, or other rights of another person;
• submit or request illegal, fraudulent, hateful, violent, sexually explicit, deceptive, manipulative, or privacy-invasive content;
• use the Services to develop, train, or enhance another AI or machine-learning system without our express written consent;
• reverse engineer, decompile, disassemble, or otherwise derive non-public elements of the Services;
• scrape, harvest, crawl, index, or collect data from the Services using unauthorized automated means;
• interfere with or disrupt the integrity, performance, or availability of the Services;
• use the Services in high-risk contexts without independent verification;
• rent, lease, sublicense, sell, transfer, or commercially exploit the Services except as expressly authorized in writing; or
• impersonate another person or misrepresent your affiliation or identity.

We may investigate suspected violations and take any action we consider appropriate, including suspension, termination, or referral to law enforcement.

18. Content Policy

Madrigal Network is intended to be used in a lawful, safe, and respectful manner. You may not use the Services to create, request, transmit, store, or distribute prohibited content or to engage in prohibited conduct.

Prohibited categories include, without limitation:

• pornographic or sexually explicit content, particularly any content involving minors;
• illegal activity, including fraud, identity theft, hacking, or unlawful circumvention;
• violence, terrorism, self-harm, suicide promotion, or dangerous conduct;
• hate speech, harassment, threats, or discriminatory abuse;
• misinformation, deepfakes, impersonation, or deceptive manipulation intended to mislead;
• child exploitation or child endangerment of any kind;
• non-consensual intimate content or privacy-invasive material; and
• spam, phishing, malware, viruses, or other malicious content.

We reserve the right to review, restrict, disable, remove, or report activity that violates this Content Policy. We are not obligated to pre-screen User Input or Output, and you remain solely responsible for compliance.

We may also remove or change features, models, or filtering tools at any time in our discretion.

19. Indemnification

You agree to defend, indemnify, and hold harmless Madrigal Network, its affiliates, licensors, service providers, successors, assigns, officers, directors, employees, contractors, representatives, and agents (collectively, the "Indemnified Parties") from and against any claims, demands, actions, proceedings, losses, damages, liabilities, judgments, settlements, fines, penalties, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to:

• your access to or use of the Services;
• your User Input or your use of Output;
• your actual or alleged breach of these Terms;
• your violation of applicable law;
• your infringement or violation of any third-party rights;
• your use of the Services in a sensitive, regulated, or high-risk context; or
• fraud, intentional misconduct, gross negligence, or criminal acts by you or through your account.

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification at your expense, and you agree to cooperate fully with that defense. You may not settle any such matter in a manner that imposes liability or obligations on any Indemnified Party without our prior written consent.

20. Limitation of Liability

To the fullest extent permitted by law, Madrigal Network and its affiliates, licensors, service providers, employees, officers, directors, contractors, and agents will not be liable for any indirect, incidental, consequential, special, exemplary, statutory, or punitive damages, or for any loss of profits, revenue, business, goodwill, opportunity, use, or data, arising out of or related to the Services or these Terms, even if advised of the possibility of such damages.

To the fullest extent permitted by law, our total aggregate liability for all claims arising out of or relating to the Services or these Terms will not exceed the total amount you paid to Madrigal Network for the Services during the 12 months immediately preceding the event giving rise to the claim. If you have not paid us any amount, your sole remedy is to stop using the Services.

Some jurisdictions do not allow certain limitations or exclusions of liability, so portions of this section may not apply to you. In those jurisdictions, liability will be limited to the maximum extent permitted by law.

21. Specific Medical Disclaimer

The Services may generate content relating to medical, clinical, psychological, mental health, wellness, or healthcare topics. Such content is provided solely for general informational purposes and does not constitute medical advice, diagnosis, treatment, or clinical guidance.

Madrigal Network is not a licensed healthcare provider, and the Services are not a medical device or diagnostic tool. Outputs are not reviewed by licensed medical professionals and must not be relied upon for medical decision-making.

You must not use the Services:

• to obtain or provide medical advice;
• as a substitute for a physician, therapist, pharmacist, or other qualified healthcare professional; or
• in an emergency or urgent medical situation.

If you have a medical concern, consult a qualified healthcare professional immediately. Never delay seeking professional medical care because of content generated by the Services.

22. Disclaimer of Warranties

To the fullest extent permitted by law, the Services and all related content, features, and Output are provided "as is," "as available," and "with all faults," without warranties of any kind, whether express, implied, statutory, or otherwise.

We disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, quiet enjoyment, availability, security, accuracy, reliability, and uninterrupted operation.

We do not warrant that the Services will meet your expectations, be error-free, be continuously available, be secure, or produce accurate, complete, or current Output. No statement, communication, or information provided by us creates any warranty unless expressly stated in these Terms.

Your use of the Services and any reliance on Output is entirely at your own risk.

23. Equitable Relief

You acknowledge that a breach of these Terms, particularly with respect to misuse of the Services, unauthorized use of proprietary materials, or violation of intellectual property rights, may cause irreparable harm for which monetary damages would be inadequate.

Accordingly, Madrigal Network may seek injunctive or other equitable relief, including temporary, preliminary, and permanent relief, without the need to post bond or prove actual damages, in addition to any other rights or remedies available at law or in equity.

24. Force Majeure

We will not be liable for any delay, interruption, or failure to perform caused by events beyond our reasonable control, including natural disasters, epidemics, pandemics, public emergencies, war, terrorism, civil unrest, labor disputes, governmental actions, internet or telecommunications failures, hosting outages, utility shortages, or similar force majeure events.

If a force majeure event continues for more than 30 consecutive days, we may suspend or terminate the affected Services without liability, provided that such termination will not affect charges properly incurred before the force majeure event began.

25. Intellectual Property

The Services and all related software, code, models, algorithms, interfaces, designs, text, graphics, trademarks, logos, trade names, audio, video, and other content made available through the Services (collectively, "Platform Content") are owned by Madrigal Network or its licensors and are protected by applicable intellectual property laws.

Except as expressly permitted by these Terms, you may not reproduce, modify, create derivative works from, distribute, publish, display, transmit, or otherwise exploit any portion of the Services or Platform Content without prior written permission.

As between you and us, you retain ownership of your User Input. However, you grant us a non-exclusive, worldwide, royalty-free license to host, use, reproduce, modify, adapt, process, and otherwise use your User Input as necessary to provide, maintain, secure, improve, and support the Services, subject to our Privacy Policy.

You are granted only the limited rights expressly described in these Terms with respect to Output. Nothing in these Terms transfers to you any ownership of the underlying systems or technology used to generate that Output.

Any feedback, ideas, or suggestions you provide may be used by us without restriction or compensation to you.

26. Data Privacy

Your use of the Services is also governed by our Privacy Policy, which describes how we collect, use, store, disclose, and protect information in connection with the Services.

By using the Services, you acknowledge that we may process information as described in the Privacy Policy and as reasonably necessary to provide the Services, improve performance, maintain security, and comply with law.

27. Third-Party Links

The Services may include links to third-party websites, resources, or services. Those links are provided for convenience only. We do not control, endorse, or assume responsibility for third-party sites or services, or for their content, terms, privacy practices, products, or conduct.

Your use of third-party sites or services is at your own risk and subject to the third party's own terms and policies.

28. Governing Law

These Terms and any dispute arising out of or relating to these Terms or the Services are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles.

Subject to any applicable dispute-resolution requirements and to our right to seek equitable relief elsewhere where appropriate, you agree that the state and federal courts located in Delaware will have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Services.

You waive any objection based on venue, personal jurisdiction, or inconvenient forum.

To the extent permitted by law, any claim arising out of or relating to the Services must be brought within one year after the claim accrues.

29. Amendments

We may amend, update, or modify these Terms at any time. Changes become effective when posted or otherwise communicated, unless a later effective date is stated.

We may provide notice of material changes through the Services, by email, or by another reasonable method. Your continued use of the Services after the effective date of an update constitutes acceptance of the revised Terms.

If you do not agree to a revised version, you must stop using the Services.

30. Waiver

No failure or delay by Madrigal Network in exercising any right, power, or remedy under these Terms will operate as a waiver of that right, power, or remedy.

Any waiver must be in writing and signed by an authorized representative of Madrigal Network. A waiver of one breach does not constitute a waiver of any other or subsequent breach.

31. Headings

Headings are included for convenience only and do not affect the interpretation of these Terms.

32. Severability

If any provision of these Terms is held invalid, illegal, or unenforceable, that provision will be enforced to the maximum extent permitted by law or, if necessary, severed, and the remaining provisions will remain in full force and effect.

33. Entire Agreement

These Terms, together with any policies or agreements expressly incorporated by reference, constitute the entire agreement between you and Madrigal Network concerning the Services and supersede all prior or contemporaneous discussions, understandings, or agreements relating to the same subject matter.

Any provision that by its nature should survive termination or expiration of these Terms will survive, including provisions relating to intellectual property, indemnification, disclaimers, limitations of liability, dispute resolution, governing law, and enforcement rights.
